Mergers of companies could be simplified in Estonia

Print versionThe Ministry of Justice of Estonia has drafted a bill that if passed will reduce the amount of paperwork and filings in the case of mergers and divisions of public limited companies.

The ministry's private law service department advisor Külliki Puusild said the draft law is based on a EU directive, informs LETA.
"The directive will contribute to increasing the European Union's competitiveness, as the reporting and notification requirements for companies are reduced, meaning a lower administrative burden for companies," she said.
For instance, public limited companies can make foundation documents available to shareholders on the website. And instead of filing a merger agreement with the Commercial Register, the company can simply post it to the website.
