TeliaSonera will make a takeover bid to shareholders of Estonian Eesti Telekom

The proposed purchase price is 93 kroons per share.
The company behind the takeover bid is TeliaSonera AB, the company established under the Swedish law, which keeps its current holding in AS Eesti Telekom through its full subsidiary Baltic Tele AB.
The Baltic Tele AB owns currently 82,936,299 shares in Eesti Telekom – approximately 60.12% of the entire company and of the voting rights.
Eesti Telekom has issued a total of 137,954,528 shares with the nominal value of 10 Estonian kroons per share.
The bid will begin on September 9 and will end on October 9, 2009. The total volume of the bid is 5.117 billion Estonian kroons. The bid is by 28.5% higher than the weighed average price of the shares of Eesti Telekom in the past 180 days and exceeds the closing price on the stock exchange on August 21 by 24.3%.
