Court bans Meroni and his group from taking offices at Ventbunkers

According to the Riga Regional Court’s ruling of 29 June 2012, which may not be appealed, members of the Rudolf Meroni group – Meroni himself, Jānis and Alvis Hāzes, Aivars Gobiņš, Arita Linde, Diāna Jukna, Mārtiņš Bunka, Mihails Dementjevs, David Guy Anstis, IAG Ltd. and IAG Industrieanlagen GmbH – may not apply to the Register of Enterprises for the registration of changes on Ventbunkers supervisory council without presenting a “list of Ventbunkers shareholders that participated in the Ventbunkers shareholders meeting where the respective changes were considered,” which will have to be drawn up and signed by the company’s board and registered with the Commercial Register, informs BC JSC Ventbunkers press officer Mārcis Krastiņš.

Likewise, Meroni and his companions have been banned from applying to the Register of Enterprises for the registration of amendments to Ventbunkers articles of association, increasing or reducing the company’s share capital, and suchlike without presenting a list of Ventbunkers shareholders that participated in the Ventbunkers shareholders meeting where the respective amendments to the company’s articles of association, increasing or reducing its share capital, reorganization or liquidation of the company were considered, which will have to be drawn up and signed by the company’s board and registered with the Commercial Register.

 

Previously Riga Regional Court took a similar decision regarding changes on the supervisory council and board at JSC Latvijas Naftas Tranzīts. Before that, Riga Regional Court ruled in favour of JSC Latvijas Naftas Tranzīts regarding the securing of a claim in a lawsuit on the recovery of losses sustained as a result of misappropriation of the company’s funds by the previous board of the company, which acted in the interest of Rudolf Meroni, and transfer of these funds to the accounts of Airtech Ltd.

 

The court ruling means that JSC Ventbunkers continues to have supervisory council and board elected by the company’s shareholders, which have been running the company already since the end of 2011 (Ventbunkers supervisory council is made up of Olafs Berķis, Jānis Junkers, Aleksejs Ovods, Gatis Klimass and Genadijs Ševcovs).

 

Several criminal cases have been launched regarding the actions of Meroni and his group at a time they were running JSC Ventbunkers and JSC Latvijas Naftas Tranzīts. From 2010 to the beginning of 2012, JSC Ventbunkers and JSC Latvijas Naftas Tranzīts squandered several million euros to pay for various services that were inexplicable and not in the companies’ interest.
